Welcome to Trevor Berridge dba Southern Spacial ("we," "us," or "our"). By booking our services, paying our invoices, or accessing our deliverables, you ("Client" or "Agent") agree to be bound by the following Terms of Service.

1. Ownership & Copyright

Our Ownership: We retain the full copyright and intellectual property rights for all raw data, photographs, and 3D scans we produce. Limited License to You: We grant you (the booking Agent/Client) a non-exclusive, non-transferable license to use the media for the sole purpose of marketing the photographed property while the listing is active (up to one year). Commercial & Business Use Exception: If the booked services are for a commercial business location (e.g., a restaurant, retail storefront, office, or event venue) rather than a residential real estate listing, the license granted is an indefinite, non-transferable, commercial use license. The Client may display the media on their business website, social media, and Google Business Profile for as long as the business remains operational under that ownership. The media still may not be sold or shared with third parties (like contractors, designers, or architects) without our express written consent. Third-Party Sharing: You may not sell, license, or give our media to any third party—including home sellers, new homeowners, builders, architects, stagers, or other real estate agents—without our express, prior written consent. We grant Real Estate Clients a limited, non-exclusive sub-license to upload the licensed media to their local Multiple Listing Service (MLS) strictly as required for the active marketing of the property listing. This sub-license does not grant the MLS, its syndication partners, or any third-party real estate platforms the right to sell, permanently archive, or use our media for independent commercial purposes or database compilation once the specific property listing is no longer active. Transfer of Hosting Ownership: If you choose to have the Matterport 3D scan transferred directly to your personal or brokerage Matterport account, we will initiate a "Space Transfer". Accepting this transfer transfers cloud hosting responsibility and account ownership to you. However, it does not transfer the underlying copyright. The media remains licensed to you solely for marketing the listing and may not be sold or shared with third parties. See Section 7 for further information on account transfers. Prohibition of AI Training and Machine Learning: The Client explicitly agrees that neither they, nor any third party acting on their behalf (including but not limited to the Multiple Listing Service, syndication websites, or marketing platforms), are permitted to use, upload, or feed any media produced by Southern Spacial into any artificial intelligence (AI), machine learning, or automated generative models for the purpose of training, cloning, or algorithmic processing without our express, prior written commercial license.

2. Property Readiness & Staging

As-Is Shooting: The property must be clean and ready to shoot at the scheduled start time. This is to ensure the best possible results for you and your clients, while also preserving our schedule. No Heavy Moving: For liability reasons, we will not clean, move furniture, or pick up personal items. Any delay caused by a property not being ready may result in a $25/hour waiting fee, or require us to reschedule at the Client's expense. Lockbox Access: If you provide a lockbox code for an unattended shoot, you authorize us to enter the property on your behalf.

3. Payment & Delivery

Watermarked Previews: All initial deliverables may be sent as watermarked, low-resolution preview files. Payment Terms: Full payment is required before high-resolution, un-watermarked files and active, hosted 3D virtual tour links are released. Late Fees: Invoices unpaid after 30 days are subject to a late fee of 1.5% per month on the outstanding balance.

4. Cancellations, Rescheduling, & Weather

Cancellation Window: We require at least 24 hours’ notice to cancel or reschedule a shoot. Fees: Cancellations made with less than 24 hours' notice may be subject to a $75 cancellation fee. If we arrive at a property and are unable to gain entry or the shoot is canceled on-site, a $75 service fee will apply. Weather Policy: In the event of rain or severe weather, we can shoot the interior and return at a later date to capture exterior shots for a small $20 trip fee, or reschedule the entire shoot for no penalty whatsoever.

5. 3D Scanning & Hosting Fees

Complimentary Initial Hosting: Every 3D virtual tour includes two (2) months of complimentary cloud hosting via Matterport, starting from the date of the shoot. Month-to-Month Subscription: If you require the 3D tour to remain active after the first two months, hosting will transition to a month-to-month subscription of $10/month, billed via invoice. Business or long-term Clients may optionally elect a prepaid annual hosting subscription at a discounted rate of $100/year, billed in advance. Cancellation & Deactivation: You may cancel this hosting subscription at any time. If the monthly subscription is not paid or is canceled, the 3D tour will be deactivated. Any deactivated tours may be available for reactivation or account transfer for a 14-day period following deactivation. Reactivation or requesting an account transfer after de-activation may incur a $25 admin fee. We are not responsible for preserving any scan data once a subscription has been terminated. Transfer Alternative: If you wish to avoid recurring hosting fees with us, you may request to transfer the scan directly to your personal Matterport account (subject to the terms in Section 7). 6. Liability Limit

Property Damage: We treat every property with the utmost care. We are fully protected by a $2,000,000 General Liability policy, provided by ERGO NEXT. Any claims for physical damage caused during a shoot must be reported in writing within 48 hours of the shoot. Limit of Liability: Our maximum financial liability for any mistake, corrupted files, server outages, platform data loss, missed deadlines, or missed angles is strictly limited to a full refund of the amount paid for the specific service. We are not liable for any lost sales, delayed listings, or consequential damages.

7. Client Account Transfers

If you request that a 3D scan be transferred to your own Matterport account: 7-Day Window: You must accept the automated transfer email from Matterport within seven (7) days of initiation, or the transfer link will expire. Re-initiating an expired transfer may incur a $25 admin fee. Account Compatibility: You are solely responsible for ensuring your Matterport subscription plan is compatible with the transferred scan (e.g., Free or Starter accounts have active space and camera compatibility limits). Release of Hosting Liability: Once the space transfer is accepted by your account, our hosting obligations for that scan immediately terminate. We are not responsible for any future hosting fees, account limits, or accidental deletions occurring on your account. 8. Edits & Revisions Policies Editing: Our standard pricing includes basic color correction and lighting adjustments. Any requested major structural alterations (e.g., Photoshopping out permanent fixtures, power lines, or physical damage) or secondary rounds of creative revisions may incur an additional editing fee of $40/hour.‍ ‍9. Media Review & Neighbor Privacy

Client Review Period: The Client is solely responsible for reviewing all deliverables (photographs, video, and 3D scans) for accuracy, completeness, and suitability before publishing, listing, or publicizing the media. We are not liable for any listing delays, fines, or errors discovered after the media has been approved and downloaded or published.

Neighbor Privacy & Accidental Capture: Due to the nature of real estate media capture (including wide-angle lenses, and 3D scanning) surrounding structures, neighboring yards, vehicles, or windows may inadvertently appear in the background of the media.

Limitation of Liability: We are not responsible or liable for the unintentional capture of neighboring properties, nor for any privacy complaints, disputes, or legal actions arising from neighbors. If a neighbor objects to their property being visible, we will obscure or crop out the sensitive area upon the Client's written request, subject to our standard revision fees.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana. Any and all legal proceedings or disputes arising under this agreement must be filed exclusively in a court of competent jurisdiction within Caddo Parish, Louisiana.
